Proposed Amendments to the By-Laws
In August 2007, an appointed Ad-hoc By-laws Review Committee began the process of reviewing the Laurel School Alumnae Association by-laws, as well as researching independent school best practices. The last such review was held in 1999. While the amendments are numerous, and appear in its entirety by downloading the Alumnae Association ByLaws (5 pg .pdf, 2 mb), you will find below highlights of the changes.

A. Alumnae Board Composition

Article III, Section 2: Expands the number of at-large Board members to 10-15

Article III, Section 3: Added term limits to members at-large (two 3-yr. Terms, six consecutive years)

Article IV, Section 3: Secretary will be appointed annually by the President from the members of the Board; may serve consecutive terms
B. Nominating Committee Composition and Association Elections

Article IV, Section 2: The Vice President is no longer chair of the Nominating Committee (This allows for a VP to be nominated to serve as President.)

Article V, Section 1: Defines the Nominating Committee - chaired by either immediate past president or a former Board member; includes at least one officer; includes three members-at-large (decreased from four)

Article V, Section 4: President & VP candidates must be either current or former Board members

Article V, Section 5: States that members of the Nominating Committee cannot nominate themselves
C. Proxies/Voting/Quorum

Article II, Section 3: Defined a quorum of the LSAA as 25 members

Article III, Section 4: Board member may be removed from the Board by a 2/3 vote of the Board (it was unanimous which would never be achieved)

Article VI, Section 2: Defined a quorum of the Alumnae Board as a majority of the members, with at least two officers present
D. Miscellaneous

Intro, Fifth paragraph: Removed the objection for the LSAA to influence legislation as there may be a women’s or education issue the LSAA would encourage its members to support

Article II, Section 5: Allows email notification of LSAA business meetings
